Terms for Paid Subscriptions

“MetaGlance Services” are web services accessible through URL’s that start with "http://service.metaglance.com." MetaGlance Services analyze files or text passages and return metadata. MetaGlance Services are owned and operated by the Oregon companies Eduworks Corporation and Eduworks Software, LLC (together referred to as "Eduworks"). "Metaglance.com" refers to the web site available at http://www.metaglance.com.

  1. Nature of this Agreement: This Agreement governs the payment mechanics and service level provided to paid subscribers to MetaGlance Services.
  2. Agreement to Terms: By acquiring or using a paid subscription to MetaGlance Services you agree to the terms herein and to the Privacy Policy and Terms of Use and the MetaGlance Terms of Service that that are published from time to time on metaglance.com. 
  3. Initial Payment: Upon submitting the information required for a paid subscription through the mechanism provided on metaglance.com and upon providing a valid form of payment, you will be charged for one month's subscription at the rates listed on metaglance.com or agreed in writing with Eduworks.
  4. Continued Payment: You will be charged on or after each monthly anniversary of your initial payment for one additional month's service at the then-current monthly rate. You agree to pay such charges unless your subscription has been terminated in accordance with this Agreement or the MetaGlance Terms of Service.
  5. Account information: You agree to keep your account information and payment information up-to-date and valid. 
  6. Declined Payments: If a payment is declined we will notify you and make another further attempt to collect the payment  seven (7) days after such notification. If the payment is declined a second time we may suspend your subscription and access to all MetaGlance Services.
  7. Rate Changes: Eduworks may change its rates at any time upon thirty (30) days notice. Notice will be sent to the email address associated with your subscription. No other notice is required. 
  8. Termination:  You may terminate your subscription at any time through metaglance.com or by sending email to metaglance@eduworks.com. We will take reasonable steps to verify that email cancellation requests are genuine and authorized. We may also terminate or suspend your subscription and your access to any or all MetaGlance Services for cause as provided for in the MetaGlance Terms of Service or upon thirty (30) days notice without cause.
  9. Effect of Cancellation: Upon cancellation of your subscription by you or by us for other than cause, your subscription and access to all associated MetaGlance Services will continue until the next monthly anniversary of your initial payment. Upon cancellation for any reason we will discontinue monthly billings. 
  10. Refunds: Refunds are given only to correct a billing error or at Eduworks' sole discretion in the interests of customer service.
  11. Service Level Agreement: Eduworks will make commercially reasonable efforts to (a) make the MetaGlance Services offered as part of your subscription continually available, (b) provide you with answers to email support questions within two (2) business days, (c) monitor and respond to questions on premium support forums (available on the MetaGlance web site),  (d) maintain up-to-date and accurate documentation on the MetaGlance web site, and (e) notify you of any modifications or changes to MetaGlance Services that may affect your use of them. MetaGlance Services are accessed via the Internet and hosted on third-party servers "in the cloud" over which Eduworks has no direct control. MetaGlance services are also frequently updated. You understand that the availability and responsiveness of MetaGlance Services can be affected by your connectivity, Internet latency, problems with third-party services providers and updates. 
  12. Force Majeure: Eduworks shall not be responsible for any delays or failures in performance due to circumstances beyond its control. 
  13. Changes:  Eduworks may modify or replace any part of this Agreement at any time at its sole discretion provided that such change does not result in a rate change with less than thirty (30) days notice. You agree to check this Agreement periodically for changes. Following the posting of any such changes, your continued use of the MetaGlance Services associated with your subscription constitutes acceptance of those changes. 
  14. Assignment: Eduworks may assign its rights under this Agreement without condition.  You may not.  This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
  15. Severability:  If any provision of this Agreement shall be invalid or unenforceable in any respect for any reason, the validity and enforceability of any such provision in any other respect and of the remaining provisions of this Agreement shall not be in any way impaired.
  16. Entire Agreement: This Agreement (including the documents referred to in this Agreement) constitutes the entire agreement and understanding between you and Eduworks with respect to the subject matter of this Agreement. 
  17. Modifications: This Agreement may only be modified by a written amendment signed by an authorized executive of Eduworks or by the posting by Eduworks of a revised version.
  18. Choice of Law: This Agreement shall be governed by, enforced, and interpreted according to the laws of the State of Oregon.  All litigation shall be brought in Benton County Circuit Court or in the U.S. District Court for Oregon.
